Iclotet Code of Ethical Conduct
Introduction
The code of ethical conduct is our guide to appropriate behavior, along with established rules and work procedures, to ensure what is right and consequently prevent any crime from occurring within the company.
The Code serves as a guide for all employees of Ignasi Clotet S.L.U. in their professional performance regarding their daily work, the resources used, and the business environment in which they operate. It provides guidelines that clarify the basic principles of all management and interpersonal relationships with colleagues, collaborators, supervisors, suppliers, clients, shareholders, and generally anyone with a direct or indirect interest in the company’s activities. Our actions are based on respect for our corporate values, and employees will adjust their behavior according to principles of conduct respectful of business ethics and professionalism, aiming to be a benchmark in these terms and be recognized as such.
Scope of Application
This Code is directed at all employees of Ignasi Clotet S.L.U., regardless of the contractual modality governing their employment relationship, the position they occupy, or the location where they perform their work. Those associated with the company are obliged to inform their main suppliers about the existence of this Code, which will be available for consultation on the company’s website www.iclotet.com.

Good Faith
We constantly adjust our behavior to the principles of loyalty and good faith with the company, superiors, colleagues, and collaborators. We emphasize the drive for achievement and the spirit of improvement.
The concern for achieving established objectives must be constant and continuous. We encourage optimistic attitudes over pessimistic ones. We subordinate personal goals to the general objectives of the Company. We ensure there is no conflict between the two and act by prioritizing the interests of the company over personal or third-party interests.
Honesty
All employees of Ignasi Clotet S.L.U. commit to declaring any personal or professional relationships that may condition our behavior as employees of the Company. Additionally, as employees of Ignasi Clotet S.L.U., we do not accept undue compensation or advantages. We instill honesty and professional ethics in the usual commercial and professional relationships in our work, both in the private sector and in our relations with Public Administrations. We do not offer gifts or promise undue favors to third parties, whether public or private, to obtain an advantage. We promote transparency by declaring gifts or advantages received from third parties and make them available to the company. Any personal or professional relationship affecting the interests of the Company is communicated to the immediate supervisor.
We avoid behaviors contrary to free competition or constituting unfair competition. In advertising campaigns, we provide information clearly and truthfully.
Respect

We appreciate diversity in opinions, education, and culture as a source of knowledge and competitive advantage. We are careful with the language used when talking about others and foster the absence of defamatory remarks inside and outside the organization.

No employee of Ignasi Clotet S.L.U. is discriminated against professionally based on race, physical disability, religion, age, nationality, sexual orientation, gender, political opinion, or social origin.
We maintain a work environment free of all discrimination and any behavior involving harassment of a personal nature, not allowing any form of physical, sexual, psychological, or verbal harassment or abuse. We respect the environment and collaborate with sustainable development of society.
Confidentiality
We abstain from providing, internally or externally, confidential data about people and/or activities carried out in the Company.
However, we provide the data necessary for other employees of Ignasi Clotet S.L.U. to properly perform their functions, strictly respecting this confidentiality duty. We avoid behaviors contrary to free competition or constituting unfair competition. In advertising campaigns, we provide information clearly and truthfully. Employees of Ignasi Clotet S.L.U. are characterized by a marked proactive attitude in handling confidential information. Information is the property of the Company and should always be shared when beneficial and necessary for it.
In our conduct:
We provide responsible parties with truthful, necessary, complete, and timely information about the progress of our area’s activities; and to our colleagues, information necessary for the proper performance of their duties.
We maintain professional secrecy regarding data, reports, accounts, balances, strategic plans, and other activities of Ignasi Clotet S.L.U. and its people that are not public and whose publicity could affect the company’s interests. We will not provide information unless expressly authorized.
We obtain information from third parties ethically and legitimately, rejecting any information obtained improperly or that violates company secrecy or confidentiality.
If we have doubts about the proper handling of information, we request an evaluation from our supervisor regarding its correct classification.
We shall not use for personal, third-party purposes, or to obtain profit or gain, programs, IT systems, manuals, videos, courses, studies, reports, etc., created, developed, or perfected at Ignasi Clotet S.L.U.
In general, we maintain the strictest confidentiality when using internal knowledge outside the company, preserving our know-how.
We only use IT systems, software, materials, reports, etc., for which Ignasi Clotet S.L.U. has acquired the corresponding license, always respecting intellectual and industrial property.
The use of computer equipment is subject to Ignasi Clotet S.L.U.’s information security policy to avoid harm to third parties and/or the company itself.
We do not use system access fraudulently or for personal benefit.
Ten questions to ask before making a decision

Employees at Ignasi Clotet S.L.U. work efficiently during the workday, making rigorous and rational use of company time and resources. We devote the dedication required to perform our functions, aiming to achieve optimal and productive results. The Company provides all necessary resources to carry out the work and improve performance through optimizing time and access to necessary information. Therefore, we must use resources appropriately and reasonably based on professional needs. We do not engage in personal activities during work hours that interfere with job responsibilities.
We use company email, internet access, and IT systems exclusively for work purposes. Personal use is expressly prohibited.
We expressly authorize the Company to monitor their use. Unacceptable use includes processing, sending, retrieving, accessing, viewing, storing, printing, or otherwise distributing materials or information that is fraudulent, harassing, threatening, illegal, racial, sexist, obscene, intimidating, defamatory, or otherwise incompatible with professional conduct. Regarding workplace safety and health, we comply with preventive measures, using individual and collective protective equipment provided by the company. Managers ensure their teams perform activities under safe conditions.
Team attitude
Company employees promote teamwork and recognize others’ contributions to common results.
As team members, we contribute equally both within and outside our area. Teamwork prevails and outweighs individual actions. An outstanding individual is also outstanding at teamwork; thus, there is no conflict between individual excellence and teamwork. Individual interest does not prevail over team interest. We avoid passive attitudes: we do not let ourselves be carried away or remain on the sidelines. We foster enthusiasm and commitment to the group and the organization.

We monitor respect and proper use of the corporate image and reputation by everyone in the company environment. The brand image is visually represented by our company logo, which has usage rules we must respect. We are especially careful in public appearances, requiring necessary authorization to speak to media, participate in conferences or seminars, and in any public dissemination where we appear as employees of Ignasi Clotet S.L.U. We all are part of the corporate image and thus assume ethical and responsible behavior that preserves the company’s image and reputation.
We never act in ways that could damage the image. Our communication, conduct, and personal image align with the professional context in which we operate.

Entry into force of the code, interpretation and monitoring
This Code of Ethics has been implemented and approved by Joan Caba Muntada on October 15, 2023, and will be published on the company website www.iclotet.com.
The Code will be communicated to all company members. It remains in force until modified or revoked, with due notice.
Each of us assumes the task of reviewing and adhering to this Code, complying with all applicable laws, policies, and guidelines. This Code attempts to address many situations faced daily but cannot cover all circumstances.

All professionals must report to their supervisor any conduct believed, in good faith, to breach the Ethical Conduct Code.
If any of the above is involved or unable to resolve concerns, inform a higher-ranking director, the area HR manager, or the company’s criminal compliance officer. All staff have access to a Whistleblowing Channel at canal.denuncias@iclotet.com, which allows confidential reporting of unethical, illegal, or corporate governance breaches, especially those with possible criminal relevance.
We do not discriminate or retaliate against employees who report, in good faith, real and proven violations. The Appointments and Remunerations Committee will ensure compliance with this Code, resolve incidents or doubts, and adopt measures for its better enforcement.
Violation of this Code may result in disciplinary measures, including dismissal and, where appropriate, legal action.
